About our Code of Conduct


American Standard Companies recently launched a new Code of Conduct and Ethics that sets high standards of integrity with which all employees are expected to comply.

The new code applies to everyone at American Standard, including officers of the company and members of the Board of Directors.

"Integrity is vital to any corporation," wrote Fred Poses, chairman & CEO, in an introduction to the code, "but it comes from action, not words."

The standards set forth in the code are mandatory for all employees.

Managers and others in positions of responsibility must acknowledge that they understand the requirements of the code and will abide by them. Employees who violate the code will be subject to disciplinary actions up to and including termination of employment.

"Our new Code of Conduct and Ethics is based on laws that apply to our businesses around the world," said Craig Kissel, president of Trane Commercial Systems. "Since we could face serious trouble — both as a company and as individuals — if we violate the code, we all need to embrace it and formally comply with it."

The code is available to employees around the world. To ensure that employees understand what is expected of them, the code has been translated into 19 languages ranging from Arabic to Thai.

The new American Standard Code of Conduct has four main parts:

· Our Personal Responsibilities
· Our Workplace Responsibilities
· Our Marketplace Responsibilities, and
· Our Global Responsibilities.

While the new guidelines cover many areas of conduct, several principles are paramount:

· We treat people inside and outside the company with fairness, dignity and respect.
· We report facts, especially corporate financial facts, honestly and openly. We cannot tolerate any creation of false or fraudulent documents.
· Ignorance of our standards is no excuse for violating them. If we have doubts, we have the personal responsibility to raise questions and get answers.

American Standard expects employees to live up to these principles and other elements of the code. The company also expects similar conduct from suppliers and contracted service providers.
